End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("End User" or "You") and Contrast Software ("Licensor" or "We"), governing your use of the Business Management Application ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. LICENSE GRANT

Subject to the terms of this Agreement, Licensor hereby grants you a non-exclusive, non-transferable, limited license to use the Software solely for your internal business purposes. This license includes the right to use the Software’s features, including customer management, inventory management, order creation, and integrations with QuickBooks Online.

2. RESTRICTIONS

You agree not to:

  • Reproduce, distribute, or modify the Software;
  • Reverse engineer, decompile, or attempt to derive the source code of the Software;
  • Use the Software to provide services to third parties (such as SaaS);
  • Remove or alter any proprietary notices or labels from the Software.

3. INTELLECTUAL PROPERTY RIGHTS

The Software, including its features, interfaces, and all associated intellectual property, is owned by Licensor and its licensors. All rights not expressly granted in this Agreement are reserved by Licensor. You acknowledge that no ownership interest in the Software is transferred to you under this Agreement.

4. QUICKBOOKS ONLINE INTEGRATION

The Software integrates with QuickBooks Online for synchronization of business data, including but not limited to customers, orders, invoices, and purchase orders. By using the QuickBooks integration:

  • You must maintain a valid QuickBooks Online account.
  • You acknowledge that the Software is not responsible for any errors or discrepancies that arise from the synchronization process between the Software and QuickBooks Online.
  • The Software will act as a bi-directional sync, with certain data managed by the Software while others (e.g., payments) are managed by QuickBooks Online as the "source of truth."

5. UPDATES AND MAINTENANCE

Licensor may release updates or enhancements to the Software at its discretion. Such updates may include bug fixes, new features, or improvements to existing functionality. Updates that materially affect the QuickBooks Online integration or other core features will be communicated in advance.

6. SUPPORT

Support for the Software will be provided according to the terms and conditions outlined by Licensor. Licensor will offer support related to installation, setup, and general usage. However, support for QuickBooks-related issues must be sought directly from Intuit, the provider of QuickBooks Online.

7. DATA AND PRIVACY

You agree that any data processed through the Software, including customer data, invoices, and financial records, is subject to our Privacy Policy. We are committed to the security and protection of your data and will use commercially reasonable efforts to maintain the confidentiality of your business information.

8. TERM AND TERMINATION

This Agreement is effective from the date you first use the Software and will remain in effect unless terminated. We may terminate this Agreement and your license to use the Software immediately if:

  • You breach any terms of this Agreement;
  • You engage in unauthorized use of the Software.
  • Upon termination, you must cease all use of the Software and destroy any copies in your possession.

9. WARRANTIES AND DISCLAIMERS

The Software is provided "AS IS" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. Licensor does not warrant that the Software will meet your requirements or that operation of the Software will be uninterrupted or error-free.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Software, even if advised of the possibility of such damages.

Licensor's total liability under this Agreement, whether in contract, tort, or otherwise, will not exceed the total fees paid by you for use of the Software during the 12 months preceding the claim.

11. COMPLIANCE WITH LAWS

You agree to use the Software in compliance with all applicable laws and regulations, including but not limited to data privacy and export control laws. It is your responsibility to ensure that your use of the Software complies with QuickBooks Online’s terms of service and applicable laws.

12. MODIFICATIONS TO THE AGREEMENT

Licensor reserves the right to modify this Agreement at any time by providing notice to you. Your continued use of the Software after any changes to the Agreement constitutes acceptance of the new terms.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Saskatoon, Saskatchewan, Canada, without regard to its conflict of law principles. Any disputes arising under this Agreement will be resolved in the courts of Saskatoon, Saskatchewan, Canada.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the use of the Software and supersedes any prior agreements, communications, or representations, whether oral or written.

 

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
